Mutual Non-Disclosure Agreement

This Mutual Non-Disclosure Agreement (the “Agreement”) is entered into as of 2026-06-17 between ACME Resources LLC, a TX LLC located at (“ACME Resources LLC”), and , a located at (“Counterparty”).

1. Purpose

The parties wish to explore the following matter (the “Purpose”) and, in connection with it, may exchange non-public information:

2. Confidential Information

“Confidential Information” means non-public information disclosed by one party (the “Disclosing Party”) to the other (the “Receiving Party”) in connection with the Purpose, whether oral, written, or electronic. It excludes information that (a) is or becomes public through no fault of the Receiving Party; (b) was rightfully in the Receiving Party’s possession before disclosure; (c) is independently developed by the Receiving Party without use of Confidential Information; or (d) is rightfully obtained from a third party without confidentiality obligations.

3. Obligations

The Receiving Party will (a) use Confidential Information only for the Purpose, (b) protect it with at least reasonable care and the same care it uses for its own confidential information, and (c) limit access to its directors, officers, employees, contractors, and advisors who have a need to know and are bound by confidentiality obligations at least as protective as this Agreement.

4. Compelled Disclosure

If the Receiving Party is compelled by law to disclose Confidential Information, it will, where legally permitted, give the Disclosing Party prompt written notice and reasonable cooperation to seek a protective order.

5. Term

This Agreement is effective on the date first written above and continues for two (2) years. The confidentiality obligations in Section 3 survive for year(s) after disclosure of each item of Confidential Information.

6. Miscellaneous

This Agreement is governed by the laws of the State of TX. It is the entire agreement between the parties on its subject matter and may be signed in counterparts, including by electronic signature.
