This Coworking / Desk License Agreement (this “Agreement”) is made as of between ACME Resources LLC, a TX LLC (“Provider”), and , a (“Member”). Provider operates a coworking facility and offers shared workspace to members.
Provider grants Member a revocable, non-exclusive license to use desk(s) and shared workspace at (the “Space”), together with the common areas and amenities described below. This Agreement is a personal license to use the Space and does not create a lease, tenancy, easement, or any other interest in real property. Provider retains legal possession and control of the Space at all times.
Member acknowledges that it has no right to exclusive possession of any portion of the Space, that Provider may relocate Member to comparable space within the facility upon reasonable notice, and that the protections of landlord-tenant law do not apply to this Agreement. Member receives no recorded or possessory interest of any kind.
This Agreement begins on and continues on a month-to-month basis until terminated. Either Party may terminate this Agreement by giving at least days’ written notice prior to the end of a monthly billing period.
Member shall pay a monthly license fee of , due in advance on the first day of each month. A one-time, refundable membership deposit of is due upon execution and will be returned, less any amounts owed, after Member’s use of the Space ends.
The monthly fee includes the following services: (which may include high-speed internet, electricity, shared kitchen access, reception, and use of common meeting areas subject to availability). Provider may modify the services and amenities offered from time to time. Additional services, such as dedicated meeting rooms or printing beyond included allowances, may be available for additional fees.
Member and its personnel and guests shall comply with Provider’s house rules, as posted and updated from time to time, including rules governing quiet hours, guest access, use of common areas, and acceptable conduct. Member shall not cause a nuisance, damage the Space, or use the Space for any unlawful purpose. Member is responsible for the conduct of its personnel and guests.
Member shall maintain insurance appropriate to its activities and is responsible for insuring its own property. Provider is not liable for loss of or damage to Member’s property or data. Member shall indemnify Provider against claims arising from Member’s use of the Space or breach of this Agreement, except to the extent caused by Provider’s gross negligence or willful misconduct.
Provider may terminate this Agreement immediately and revoke the license if Member fails to pay any fee when due, violates the house rules after notice, or engages in conduct that endangers persons or property. Upon termination, Member shall promptly remove its property and vacate the Space.
This Agreement is governed by the laws of the State of TX. It constitutes the entire agreement between the Parties regarding the Space and may be executed in counterparts, including by electronic signature.
