Independent Contractor Agreement

This Independent Contractor Agreement (the “Agreement”) is entered into as of by and between ACME Resources LLC, a TX LLC located at (the “Company”), and , located at (the “Contractor”).

This Agreement begins on and continues for an initial term of month(s), unless terminated earlier in accordance with Section 6.

3. Compensation

The Company will pay the Contractor at the following rate: . The Contractor will submit invoices on a monthly basis. The Company will pay undisputed invoices within thirty (30) days of receipt. The Contractor will deliver a completed and signed IRS Form W-9 to the Company before the first payment.

4. Independent Contractor Relationship

The Contractor is an independent contractor and not an employee, partner, agent, or joint venturer of the Company. The Contractor is responsible for all federal, state, and local taxes on amounts paid under this Agreement, and the Company will report payments on IRS Form 1099-NEC where required.

5. Work Product and Confidentiality

All deliverables and work product created by the Contractor in performing the Services are work made for hire and are owned by the Company. To the extent any work product does not qualify as work made for hire, the Contractor irrevocably assigns it to the Company. The Contractor will hold all non-public information of the Company in strict confidence and will not use it except to perform the Services.

6. Termination

Either party may terminate this Agreement on fifteen (15) days’ written notice. The Company may terminate immediately for material breach by the Contractor.

7. Miscellaneous

This Agreement is governed by the laws of the State of TX. This Agreement is the entire agreement between the parties on its subject matter.
