Internship Agreement

This Internship Agreement (the “Agreement”) is entered into as of by and between ACME Resources LLC, a TX LLC located at (the “Company”), and , residing at (the “Intern”).

1. Internship Position and Dates

The Company offers the Intern an internship in the role of , supervised by . The internship runs from through , for an expected schedule of , and may be ended earlier by either party as described in Section 8.

2. Learning Objectives

The internship is designed primarily for the educational benefit of the Intern. The Intern’s learning objectives include:

The Company will provide training, mentorship, and supervision consistent with these objectives. Where applicable, the internship is intended to complement the Intern’s formal education and may qualify for academic credit through the Intern’s educational institution.

3. Compensation and FLSA Classification

This internship is . The parties acknowledge that whether an internship may lawfully be unpaid under the federal Fair Labor Standards Act is determined by the U.S. Department of Labor’s “primary beneficiary” test, which examines factors such as the extent to which the internship provides training similar to an educational environment, is tied to the intern’s formal education, accommodates academic commitments, and is understood by both parties to be without entitlement to wages. If the Intern, rather than the Company, is the primary beneficiary of the relationship, the internship may properly be unpaid; if the Company is the primary beneficiary, the Intern must be paid at least the applicable minimum wage and any overtime due. State law may impose stricter requirements.

4. No Guarantee of Employment

This Agreement does not create an employment contract or any guarantee of future employment. If the internship is a paid position classified as employment, it is at-will, and either party may end it at any time, with or without cause or notice.

5. Confidentiality

The Intern will hold all of the Company’s Confidential Information in strict confidence and will use it solely to perform the internship. “Confidential Information” includes trade secrets, business and technical information, product plans, and customer and employee information. The Intern will not disclose Confidential Information to any third party and will return or destroy all such information at the end of the internship.

6. Intellectual Property Assignment

The Intern agrees that all inventions, works of authorship, designs, and other work product created by the Intern in the course of and relating to the internship are the sole property of the Company, and the Intern hereby assigns to the Company all right, title, and interest in such work product, including all intellectual property rights, subject to any rights reserved to the Intern under applicable state law for inventions developed entirely on the Intern’s own time without Company resources.

7. Conduct and Policies

The Intern will comply with the Company’s policies, including those concerning safety, anti-harassment, data security, and acceptable use of Company systems, and will perform the internship in a professional manner.

8. Termination

Either the Company or the Intern may end the internship at any time on written notice. Upon termination, the Intern will return all Company property and Confidential Information. Sections 5 and 6 survive termination.

9. General

This Agreement is governed by the laws of the State of TX and constitutes the entire agreement between the parties on its subject matter. It may be amended only in a writing signed by both parties.
