This Photo and Media Release (this “Release”) is granted as of by , located at (the “Releasor”), in favor of ACME Resources LLC, a TX LLC located at (the “Company”).
The Releasor hereby grants to the Company and its successors, assigns, licensees, and those acting with its authority the irrevocable, perpetual, worldwide, royalty-free right and permission to record, reproduce, edit, publish, display, distribute, and otherwise use the Releasor’s name, voice, likeness, image, photograph, and video and audio recordings of the Releasor (collectively, the “Media”), in whole or in part, alone or in combination with other material, in any and all media now known or later developed.
The Company may use the Media for the following purposes (the “Usage Purpose”):
Such uses may include, to the extent consistent with the Usage Purpose, advertising, marketing, promotion, websites, social media, publications, presentations, and internal communications. The Releasor waives any right to inspect or approve the finished materials or the use to which they may be applied.
The Releasor acknowledges and agrees that the Company exclusively owns all right, title, and interest, including all copyrights, in and to the Media and any works incorporating the Media, and that the Releasor has no ownership interest in or claim to any such Media or works.
The Releasor acknowledges that no compensation, monetary or otherwise, is or will be due to the Releasor for the grant of rights or any use of the Media, and that the rights granted are given freely and voluntarily in consideration of the Releasor’s relationship with the Company and other good and valuable consideration, the receipt and sufficiency of which are acknowledged.
The Releasor hereby releases, discharges, and holds harmless the Company and its officers, directors, employees, agents, successors, assigns, and licensees from any and all claims, demands, liabilities, and causes of action of any kind arising out of or related to the use of the Media, including any claims for invasion of privacy, right of publicity, defamation, false light, or any other personal or property right, however arising, whether known or unknown, that the Releasor may have in connection with such use.
The Releasor represents and warrants that (a) the Releasor is at least eighteen (18) years of age and has full authority to grant this Release (or, if the Releasor is a minor, this Release is executed by the Releasor’s parent or legal guardian); and (b) the Releasor has read this Release, fully understands its contents, and signs it freely and voluntarily.
This Release is governed by and construed under the laws of the State of TX, without regard to its conflict-of-laws rules. This Release constitutes the entire agreement between the Releasor and the Company regarding its subject matter and may be signed by electronic signature.
