Statement of Work

This Statement of Work (“SOW”), numbered and dated , is entered into between ACME Resources LLC, a TX LLC located at (the “Provider”), and , located at (the “Client”). This SOW is issued under, and governed by, the Master Services Agreement between the Parties dated (the “MSA”). Capitalized terms not defined here have the meanings given in the MSA. If this SOW conflicts with the MSA, the MSA controls unless this SOW expressly states otherwise.

If the Client does not respond within the review period, the Deliverable is deemed accepted. If the Client identifies material non-conformities, the Provider will correct them and re-deliver for a further review of equal length.

6. Assumptions and Client Responsibilities

This SOW and its estimates rely on the following assumptions. If an assumption proves incorrect, the Parties will address any resulting change to scope, schedule, or fees through the change-order process in Section 7.

The Client will provide timely access to personnel, systems, data, and decision-makers reasonably required for the Provider to perform the Services.
