This Bill of Sale (this “Bill of Sale”) is made and effective as of by , located at (the “Seller”), in favor of Galaxy Holdings, a TX LLC located at (the “Buyer”).
For good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Seller hereby sells, transfers, conveys, assigns, and delivers to the Buyer, and the Buyer hereby purchases and accepts, all of the Seller’s right, title, and interest in and to the following personal property (collectively, the “Property”):
The total purchase price for the Property is (the “Purchase Price”), which the Buyer has paid to the Seller, the receipt of which the Seller acknowledges. This Bill of Sale serves as the Seller’s receipt for the Purchase Price.
The Seller represents and warrants that (a) the Seller is the lawful owner of the Property; (b) the Seller has good and marketable title to the Property and full right and authority to sell and transfer it; (c) the Property is free and clear of all liens, security interests, claims, and encumbrances of any kind; and (d) the Seller will defend the Buyer’s title to the Property against the lawful claims of all persons. The Seller covenants to execute such further documents as the Buyer may reasonably request to vest and perfect title to the Property in the Buyer.
Except for the warranty of title set forth in Section 3, the Property is sold and transferred on an “AS IS, WHERE IS” basis, with all faults, and the Seller makes no other representation or warranty of any kind, express or implied, including any implied warranty of merchantability or fitness for a particular purpose, all of which are expressly disclaimed. The Buyer acknowledges that it has had the opportunity to inspect the Property and relies on its own examination in purchasing it.
Title to and risk of loss of the Property pass to the Buyer upon delivery of the Property and execution of this Bill of Sale.
This Bill of Sale is governed by and construed under the laws of the State of TX, without regard to its conflict-of-laws rules. This Bill of Sale constitutes the entire agreement between the Seller and the Buyer regarding the Property and may be executed in counterparts, including by electronic signature.
