This Consulting Agreement (the “Agreement”) is entered into as of between Galaxy Holdings, a TX LLC located at (the “Company”), and , located at (the “Consultant”).
The Company engages the Consultant to provide advisory services in connection with the following (the “Engagement”):
The Consultant is expected to dedicate approximately hours per month to the Engagement.
The initial term is month(s), beginning on . Either party may terminate this Agreement on thirty (30) days’ written notice. The Company may terminate immediately for material breach by the Consultant.
The Company will pay the Consultant under the following structure: . The Consultant will submit invoices on a monthly basis. The Company will pay undisputed invoices within thirty (30) days of receipt. The Consultant is responsible for all federal, state, and local taxes on amounts paid under this Agreement.
The Consultant is an independent contractor and not an employee, partner, agent, or joint venturer of the Company. The Consultant will deliver a completed and signed IRS Form W-9 to the Company before the first payment.
The Consultant will hold all non-public information of the Company in strict confidence and will not use it except to perform the Engagement. This obligation continues for three (3) years after termination of this Agreement.
All deliverables and work product specifically prepared for the Company under this Agreement are owned by the Company. The Consultant retains ownership of pre-existing tools, frameworks, and general know-how, and grants the Company a non-exclusive, perpetual, royalty-free license to use them as embedded in the deliverables.
This Agreement is governed by the laws of the State of TX. It is the entire agreement between the parties on its subject matter and may be signed in counterparts, including by electronic signature.
