This Office Sublease Agreement (the “Sublease”) is made as of between Galaxy Holdings, a TX LLC with an address at (“Sublandlord”), and , a with an address at (“Subtenant”).
Sublandlord is the tenant under a lease dated (the “Master Lease”) with (the “Master Landlord”) covering premises that include the space subleased below. A copy of the Master Lease has been provided to Subtenant, who acknowledges having reviewed it.
Sublandlord subleases to Subtenant the office space located at , consisting of approximately rentable square feet (the “Subleased Premises”), together with the non-exclusive right to use common areas to the extent permitted under the Master Lease.
The term of this Sublease is months, commencing on and expiring on , provided that this Sublease shall in no event extend beyond the expiration or earlier termination of the Master Lease.
Subtenant shall pay Sublandlord rent of per month, due in advance on the first day of each calendar month, without demand, deduction, or offset. Rent for any partial month shall be prorated on a daily basis.
This Sublease is expressly conditioned upon the written consent of the Master Landlord to the extent required under the Master Lease. If such consent is not obtained within days after the date of this Sublease, either Party may terminate this Sublease upon written notice, and any prepaid rent or deposit shall be refunded to Subtenant.
Except as otherwise provided in this Sublease, the terms of the Master Lease are incorporated by reference, and Subtenant assumes and agrees to perform all obligations of Sublandlord as tenant under the Master Lease with respect to the Subleased Premises. Subtenant shall not do anything that would constitute a default under the Master Lease. In the event of a conflict, the Master Lease controls as between Sublandlord and Master Landlord, and this Sublease controls as between Sublandlord and Subtenant.
Upon execution, Subtenant shall deposit with Sublandlord as security for Subtenant’s performance. The deposit, less any amounts properly applied, shall be returned to Subtenant within the period prescribed by applicable law after surrender of the Subleased Premises.
Subtenant shall use the Subleased Premises solely for and in compliance with the Master Lease and all applicable laws. Subtenant shall not make alterations except as permitted under the Master Lease and with Sublandlord’s prior written consent.
Subtenant shall maintain the insurance required of the tenant under the Master Lease, naming Sublandlord and Master Landlord as additional insureds, and shall indemnify and hold Sublandlord harmless from claims arising out of Subtenant’s use or occupancy of the Subleased Premises, except to the extent caused by Sublandlord’s negligence or willful misconduct.
If Subtenant fails to pay rent within five (5) days after it is due, or fails to perform any other obligation and does not cure within fifteen (15) days after written notice, Sublandlord may exercise all remedies available under the Master Lease and at law or in equity, including termination of this Sublease and recovery of damages and reasonable attorneys’ fees.
This Sublease is governed by the laws of the State of TX. It constitutes the entire agreement between the Parties regarding the Subleased Premises and may be executed in counterparts, including by electronic signature.
