This Referral Agreement (the “Agreement”) is entered into as of between Galaxy Holdings, a TX LLC located at (the “Company”), and , located at (the “Referrer”).
The Referrer may, from time to time, introduce prospective customers to the Company for the Company’s products and services described as (the “Offerings”). The Referrer is an independent contractor and is not the Company’s agent, employee, partner, or sales representative, and has no authority to bind the Company or quote prices or terms.
A “Qualified Referral” is a prospect that (a) the Referrer submits in writing through before any prior contact between the Company and that prospect, (b) the Company accepts in writing, and (c) was not already in the Company’s sales pipeline. The Company will confirm whether a submission is accepted as a Qualified Referral within business days. The Company has sole discretion over whether and on what terms it transacts with any prospect.
For each Qualified Referral that becomes a paying customer and pays the Company within the attribution period, the Company will pay the Referrer a referral fee of . A referral is eligible only if the customer executes an agreement with the Company within days after the referral is accepted. Fees are calculated on net amounts actually received by the Company, excluding taxes, shipping, refunds, and chargebacks.
The Company will pay earned referral fees within days after the end of the calendar month in which the qualifying payment is received and cleared. If a customer obtains a refund or charges back a payment after a fee is paid, the Company may offset the corresponding amount against future fees or invoice the Referrer for it. The Referrer is solely responsible for its own taxes on fees received.
This Agreement is non-exclusive. The Company may accept referrals from, and engage, any number of other referrers, and may market and sell directly. The Referrer may refer prospects to others, provided it does not promote products that directly compete with the Offerings while representing the Company.
The Referrer will make only truthful statements about the Offerings, will not make guarantees or representations beyond the Company’s published materials, and will comply with all applicable laws, including anti-spam and disclosure rules. The Referrer will not use the Company’s trademarks except as the Company approves in writing.
This Agreement begins on the Effective Date and continues for year(s), unless terminated earlier. Either Party may terminate for convenience on days’ written notice, or immediately for the other’s material breach. Referral fees for Qualified Referrals accepted before termination remain payable under Sections 3 and 4.
This Agreement is governed by the laws of the State of TX, without regard to its conflict-of-laws rules. It is the entire agreement on its subject matter and may be signed in counterparts, including by electronic signature.
